These Terms of Service ("Terms") govern your use of the Spot Social application and website (the "Service"), operated by Spiritual Spark Studios, LLC ("we," "us," or "our"). By accessing or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
1. What the Service Is
Spot Social is a social platform for discovering, sharing, and checking in at venues with Wi-Fi access. Users share Wi-Fi network information, check in at physical locations, earn badges, join squads, and discover great places to work or socialize. Venue owners can claim their venue to access business analytics and marketing tools.
2. Eligibility & Accounts
You must be at least 18 years old to use the Service.
You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account.
You must provide accurate information when registering. We may suspend or terminate accounts that provide false information or violate these Terms.
3. Subscriptions & Billing
Certain features (the "Nomad Pass" subscription and "City Pass" one-time purchase) are paid.
Payments are processed by Stripe, Inc. We do not store your full payment card details.
Subscriptions renew automatically until cancelled. You may cancel at any time from your account settings; cancellation takes effect at the end of the current billing period.
Refunds are handled per Stripe's policies and are granted at our reasonable discretion. Contact us for refund requests.
4. User Content
You retain ownership of content you submit (check-ins, tips, Wi-Fi submissions).
By submitting content, you grant us a non-exclusive, worldwide, royalty-free license to display, distribute, and modify it to operate and improve the Service.
You are solely responsible for the content you submit and confirm you have the right to share it.
Wi-Fi network information is community-contributed. We do not verify that shared passwords are accurate, current, or authorized by the network owner.
Network access is at your own risk. Connecting to third-party Wi-Fi networks shared on Spot Social is entirely at your own risk. We do not control, operate, or secure those networks. Always use caution and appropriate security (e.g., a VPN) when connecting to unfamiliar networks.
5. Acceptable Use
You agree not to:
Use the Service for any illegal or unauthorized purpose.
Access or attempt to access networks without authorization.
Submit malware, spam, or intentionally false or misleading content.
Harass, threaten, or violate the rights of others.
Scrape, reverse-engineer, or interfere with the Service.
Use automated tools to create fake check-ins or inflate leaderboards.
6. Business / Venue Features
Venue owners who claim their venue gain access to analytics and marketing tools.
Marketing contact data is only available for patrons who have explicitly opted in for your venue. Sending marketing to patrons without their consent is a violation of these Terms.
You are responsible for complying with all applicable laws (including GDPR, CCPA, and anti-spam laws) when using business marketing features.
7. Data Security
We implement reasonable technical and organizational measures to protect data, including encryption in transit, access controls, and rate limiting. See our Privacy Policy for details.
8. Third-Party Services
The Service depends on third-party services, including Stripe (payments) and Cloudflare (hosting). We are not responsible for the practices or content of third-party services.
9. Intellectual Property
The Service, including its software, branding, and design, is owned by Spiritual Spark Studios, LLC and protected by intellectual property laws. You may not copy, modify, or distribute it without our permission.
9a. Copyright & DMCA Notice
We respect the intellectual property rights of others and expect our users to do the same. If you believe content on the Service (including venue photos or other user-submitted material) infringes your copyright, you may submit a notice under the Digital Millennium Copyright Act (DMCA) containing:
A physical or electronic signature of the copyright owner or authorized agent;
Identification of the copyrighted work claimed to be infringed;
Identification of the material claimed to be infringing, with enough detail to locate it;
Your contact information (address, phone, email);
A statement of good-faith belief that the use is not authorized; and
A statement, under penalty of perjury, that the information in the notice is accurate.
Send DMCA notices to: privacy@spiritualsparkstudios.com, with the subject line "DMCA Notice," or by mail to the address in Section 13. We will respond to valid notices in accordance with applicable law, including removing or disabling access to the allegedly infringing material.
Disclaimer of Warranties. THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.
Limitation of Liability. TO THE MAXIMUM EXTENT PERMITTED BY LAW, SPIRITUAL SPARK STUDIOS, LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE — INCLUDING BUT NOT LIMITED TO ANY DAMAGE RESULTING FROM CONNECTING TO THIRD-PARTY NETWORKS SHARED THROUGH THE SERVICE. OUR TOTAL LIABILITY SHALL NOT EXCEED THE GREATER OF ONE HUNDRED DOLLARS ($100) OR THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
10. Termination
You may stop using the Service and delete your account at any time (Profile → Privacy → Delete my data).
We may suspend or terminate your access if you violate these Terms, with or without notice.
Upon termination, your right to use the Service ends, but these Terms' provisions on liability, ownership, and governing law survive.
11. Governing Law
These Terms are governed by the laws of the State of Texas, United States, without regard to conflict-of-law principles. Any disputes shall be resolved in the state or federal courts located in Texas.
12. Changes to These Terms
We may update these Terms from time to time. We will post the new Terms on this page and update the "Effective date." Material changes will be announced through the app or by email. Continued use after changes take effect constitutes acceptance.
